Terms & Conditions
Alondio is not yet generally available. These terms are published ahead of launch so that our company details and contractual position are a matter of public record. They will apply when the service becomes available.
This is a pre-launch draft prepared in good faith and pending review by a qualified lawyer. If anything here appears inconsistent with the service as delivered, write to contact@alondio.com and we will correct it.
1. Who we are
Alondio (the “Service”) is operated by APPVANGUARDS SRL, a company registered in Romania, unique registration code (CUI) RO41268079, with registered office at Jud. Ilfov, Sat Tamaşi, Comuna Corbeanca, Strada Chişinău, Nr. 42 (the “Company”, “we”, “us”).

2. Definitions
These terms use the same vocabulary as our documentation glossary. In particular:
- Merchant — the business that installs Alondio on its Shopify store and enters into these terms. “You” means the Merchant.
- Store — the Merchant's Shopify store.
- End Customer — a customer of the Merchant who may receive a message. End Customers are not party to these terms.
- WABA — WhatsApp Business Account, the Meta account that holds the Merchant's sending numbers and templates.
- Template — a pre-approved message shape. All business-initiated WhatsApp messages must use one.
- Opt-in — a recorded consent from an End Customer to receive marketing messages, with timestamp, source and channel.
- Attribution Data — identifiers and events used to associate an advertisement click with a conversation and, where possible, a resulting order.
- Subscription — the paid plan giving access to the Service, billed through Shopify.
3. The Service
Alondio provides two groups of functionality to Shopify merchants:
- Messaging — abandoned cart recovery, order confirmation, shipped and delivered notifications, and back-in-stock alerts, sent over the WhatsApp Business Platform.
- Attribution — associating advertisement clicks with WhatsApp conversations and, where the data allows, with resulting Shopify orders.
We may change, add to, or withdraw features. Where a change materially reduces functionality you rely on, we will give reasonable notice.
4. Eligibility and accounts
To use Alondio you need a Shopify store and a WhatsApp Business Account that you own or are authorised to administer. You are responsible for the accuracy of the information you provide, for your account credentials, and for activity carried out under your account. Alondio is a business tool and is not offered to consumers for personal use.
5. Subscription, billing and contract formation
Alondio is offered as a flat monthly subscription billed through Shopify. Charges appear on your Shopify invoice, and Shopify processes the payment. We do not collect or store your payment card details.
The contract is formed when you approve the subscription charge in Shopify and we confirm activation. Subscription pricing does not vary with the number of messages you send. We may change prices with advance notice; changes do not affect a period already paid for.
6. Message costs are paid to Meta
Meta bills you directly for WhatsApp message costs, at Meta's rates.Those charges do not pass through us. We do not meter, mark up, resell, or invoice message usage, and we take no share of it. Your subscription fee is for the software only.
It follows that we cannot credit, refund, or dispute message charges on your behalf. Questions about them are between you and Meta.
7. Your obligations
These are the responsibilities that sit with you rather than with us:
- Consent. You must have a valid, recorded Opt-in from an End Customer before any marketing message is sent to them. Alondio enforces the presence of a consent record as a hard gate before sending, but the validity of that consent under applicable law is your responsibility.
- Message and template content. You are responsible for what your messages and templates say, and for their accuracy and lawfulness.
- Platform policies. You must comply with Meta's WhatsApp Business Messaging Policy and Commerce Policy, and with Shopify's terms.
- Contact sources. You must not upload, import, or message purchased, rented, or scraped contact lists.
- Lawful basis. You must have a lawful basis for the End Customer data you process through Alondio.
8. Dependence on Meta and Shopify
Alondio is built on top of the WhatsApp Business Platform and Shopify. Significant parts of the outcome are controlled by them rather than by us. Specifically, we donot warrant that:
- Meta will approve any given Template, or approve it within any particular time;
- any message will be delivered, or delivered within any particular time;
- your sending number will retain any given quality rating or messaging limit;
- Meta or Shopify will continue to provide, or provide on unchanged terms, the interfaces the Service depends on.
We are not liable for a Template rejection, a quality-rating downgrade, a messaging limit, a number being blocked, or a change to a third-party platform. We will tell you what has happened and what can be done about it.
9. Attribution is best-effort
Attribution works by matching identifiers across an advertisement click, a WhatsApp conversation, and an order. That match is inherently probabilistic. Click identifiers can be absent or stripped, an End Customer may click on one device and buy on another, and consent and privacy settings limit what can be observed at all.
Attribution output is therefore provided for guidance. It isnot a system of record for billing, accounting, tax, or any reconciliation with a third party, and it is not a substitute for your own analytics or for the figures reported by the advertising platform. We do not warrant its accuracy or completeness and are not liable for decisions taken on the basis of it.
10. Acceptable use
You must not:
- use the Service for any unlawful purpose, or to send unlawful, deceptive, threatening, or harassing content;
- attempt unauthorised access to the Service, other merchants' data, or our infrastructure;
- reverse engineer, decompile, or disassemble the Service, except as permitted by mandatory law;
- use the Service to build or benchmark a competing product;
- scrape or systematically extract data from the Service;
- introduce malicious code, or interfere with the Service's availability for others.
We may suspend an account we reasonably believe is in breach, and will tell you why.
11. Data protection
The parties act in two distinct capacities, and the distinction matters. We are thecontroller of your own account, billing and support data. We are aprocessor acting on your instructions in respect of End Customer personal data — phone numbers, order and cart data, consent records, delivery status and Attribution Data — for which you are the controller.
Our Privacy Policy describes both roles. A data processing agreement covering the processor role forms part of these terms and is available on request from contact@alondio.com.
12. Intellectual property
We own the Service, its software, and its documentation. You are granted a non-exclusive, non-transferable right to use it for your own business while your Subscription is active.
You keep everything of yours: your Store data, your End Customer data, your message and template content, and your WABA and phone numbers. Your WhatsApp Business Account belongs to you, not to us, and remains yours if you stop using Alondio.
13. Warranties and limitation of liability
We will provide the Service with reasonable skill and care. We do not warrant that it will be uninterrupted or error-free.
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, or loss of anticipated savings.Our total liability for all claims arising in any twelve-month period is limited to the subscription fees you paid us in that period.
For the avoidance of doubt, that cap is measured against subscription fees only. Message costs are paid by you to Meta and never form part of our revenue, so they are not included in the calculation and cannot be recovered from us.
Nothing in these terms limits liability that cannot lawfully be limited.
14. Term, suspension and termination
Either party may terminate at any time. You cancel by uninstalling the app or cancelling the subscription in Shopify; billing stops at the end of the current period.
On termination your access ends. You may export your data before terminating, and may request an export within 30 days afterwards, after which we delete or anonymise it subject to the retention periods in the Privacy Policy.
15. Consumers
Alondio is supplied to businesses. Most merchants act in a commercial capacity and the statutory rights that apply to consumers — including the 14-day right of withdrawal for distance contracts — do not apply to them.
Where you genuinely qualify as a consumer under Romanian and EU consumer protection law, those rights apply to you in full and nothing in these terms removes them. In that case you may withdraw within 14 days of concluding the contract by writing to contact@alondio.com. Where you have asked us to begin supplying the Service during that period, we may charge proportionately for what was supplied before you withdrew.
16. Force majeure
Neither party is liable for failure to perform caused by an event outside its reasonable control. If such an event continues for more than 30 days, either party may terminate without liability.
17. Governing law and disputes
These terms are governed by Romanian law. Please contact us first at contact@alondio.com so we can try to resolve matters directly.
Merchants who qualify as consumers may also use alternative dispute resolution. In Romania this is handled by the SAL Directorate of the National Authority for Consumer Protection (ANPC), anpc.ro. A list of dispute resolution bodies across the EU is maintained by the European Commission at consumer-redress.ec.europa.eu. (The EU Online Dispute Resolution platform was discontinued on 20 July 2025 under Regulation (EU) 2024/3228 and is no longer available.) Failing agreement, disputes are subject to the competent courts at our registered seat.
18. Changes and severability
We may update these terms and will notify you of material changes by email or in the app. Continued use after a change takes effect constitutes acceptance. If any provision is found unenforceable, the remainder stays in force.
19. Clauses requiring your express acceptance
Under article 1203 of the Romanian Civil Code, certain standard clauses take effect only if the other party expressly accepts them. We draw your attention to the following, and you will be asked to accept them separately when you install Alondio:
- section 8 — dependence on Meta and Shopify, and the exclusions it contains;
- section 9 — attribution being best-effort, and the exclusion of liability for reliance on it;
- section 10 — our right to suspend an account;
- section 13 — warranties, the limitation of liability and the liability cap;
- section 14 — termination, and the data export window;
- section 17 — governing law and jurisdiction;
- section 18 — our right to change these terms.
